By accessing or using the eData Insight website (the "Site") or any of our data products and services (collectively, the "Services"), you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

eData Insight is a BtoB DataBoxx Company. We provide verified B2B healthcare data products to businesses and organizations for lawful commercial purposes. Our parent company, BtoB DataBoxx, operates a family of data intelligence brands serving multiple industries.

eData Insight provides verified healthcare data products, including records for hospitals, clinics, diagnostic centers, dental practices, and specialist doctors across the United States, Europe, and Asia. Data is delivered in digital formats (CSV, Excel, JSON) for use in marketing, sales prospecting, market research, CRM enrichment, and analytics.

You may use our data products solely for lawful business purposes, including but not limited to:

• B2B marketing and outreach to healthcare professionals and facilities
• Sales prospecting and lead generation
• Market research and competitive analysis
• CRM data enrichment
• Analytics and reporting

You agree not to use our data products to:

• Contact individuals for personal, consumer, or household purposes
• Engage in spam, harassment, or any unlawful communication
• Resell, sublicense, or redistribute the data to third parties without our written consent
• Violate any applicable law, including the CAN-SPAM Act, TCPA, GDPR, or CCPA
• Reverse engineer, scrape, or attempt to extract our underlying database

We make commercially reasonable efforts to ensure the accuracy and completeness of our data. However, healthcare data changes frequently due to provider relocations, closures, and updates. We do not warrant that all records are current, complete, or error-free.

You acknowledge that some records may be outdated or inaccurate and agree to use the data at your own risk. We are not liable for any damages arising from reliance on inaccurate or incomplete records.

All content on the Site, including text, graphics, logos, and data compilations, is the property of eData Insight, BtoB DataBoxx, or their respective licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use purchased data products for your internal business purposes only.

You may not copy, reproduce, distribute, or create derivative works from our data products beyond the scope of your license without our prior written consent.

Pricing for data products is provided upon request and agreed upon in a separate order confirmation or invoice. Payment is due as specified in the applicable invoice. Delivery of data products will occur within the timeframe stated in your order confirmation, typically within 48 hours of payment.

All sales are final. Refunds may be issued at our sole discretion in cases of material data quality issues reported within 7 days of delivery.

Both parties agree to keep confidential any non-public information disclosed in connection with a data transaction, including pricing, data specifications, and business terms. This obligation survives termination of any agreement between the parties.

THE SERVICES AND DATA PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDATA INSIGHT AND BTOB DATABOXX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR DATA PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APPLICABLE DATA PRODUCT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless eData Insight, BtoB DataBoxx, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Morris County, New Jersey.

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services and any licensed data products will immediately cease.

These Terms, together with our Privacy Policy and any applicable order confirmation or data license agreement, constitute the entire agreement between you and eData Insight with respect to the subject matter herein and supersede all prior or contemporaneous communications and proposals.
